JOB SCOPE:

The role will require a broad range of interaction, with both internal (HENSOLDT UK and HENSOLDT Group) and external stakeholders, and will encompass the provision of guidance, assistance, technical (contractual & regulatory) and commercial inputs (including development of the pricing model), bids and negotiation support, in respect to all aspects of the operations of HENSOLDT UK.

The post holder will be responsible for implementation of, and compliance with, relevant HENSOLDT group policies, in particular those relating to Risk Management procedures.

The role of the Commercial function is to support the achievement of the bid’s financial/strategic objectives, to ensure compliance with ethical and contractual undertakings and to ensure the commercial integrity of commitments being made on behalf of the company.

The Commercial Manager will need to be flexible enough to visit other sites, including other HENSOLDT sites, customers and suppliers, both in the UK and internationally if required.

The post holder will provide practical assistance with respect to the Job Functions listed below:

JOB FUNCTIONS:

  • Support the bid managers for:
  • Generating Proposal Documentation (statement of work, commercial matrices and Executive Summary) matched to Customer requirements and drafting Firm/Fixed/ROM responses to PQQ/RFP/RFQ//RFIITT.
  • Assist with the Price Tender Vet process and ensure acceptable cash flow and payment profiles are contractually agreed, and provide oversight and guidance for project cash flow and milestone planning
  • Undertaking a commercial review of the full suite of proposal documents.
  • Review customer terms and conditions and advise on risks, cost drivers and propose acceptable commercial positions, to the Business Unit In particular, familiarise and have a good understanding of UK MOD Commercial process
  • Present commercial aspects of proposals at internal bid reviews, to all levels of seniority
  • Delivery of offset and industrial participation obligations on contracts within area of responsibility
  • Represent Commercial Bid Team at Sales to PM Handover meetings and Project Reviews as required
  • Responsible for generating, reviewing, drafting, and negotiating a suite of contractual documents, such as, Supply and Purchase Contracts, Confidentiality Agreements, US Technical Assistance Agreements (TAAs) Teaming Agreements, Licensing Agreements, Standard Terms and Conditions, Escrow, and other Intellectual Property Right Agreements.
  • Managing the renewal process for registered Intellectual Property, Patent and Trademark rights, and acting as the main point of contacts with the external IP agencies.
  • Managing the group property portfolio, including lease renewals, terminations and other general enquiries.
  • Conduct and support negotiations with customers to achieve the best position for the company which reflects the agreed “sign-off” position.
  • Work closely with the Procurement team to ensure flowdown of appropriate supplier terms into project contracts and to support procurement with negotiating amendments to existing contracts and preparation of new agreements
  • Updating and maintaining the centralised contracts database.
  • To support the Compliance function to review, manage and renew Counterparty agreements such as Agency, Dealership & Consultancy Agreements, Reseller, and Service Agency Agreements.
  • To ensure all new Purchase Orders and/or Contracts are accepted in line with the company process
  • To provide support to the Head of Programmes and individual Programme Managers to provide appropriate input to the:
  • Identification of potential liabilities, risks, issues and disputes, arising with customers, suppliers, partners and third parties, and produce innovative mitigation plans.
  • Advising on contractual matters throughout the lifecycle of the programme, including supporting the team with contractual disputes and prepare and negotiate amendments to existing contracts

Compliance

Data Protection Act:

  • Undertaking all responsibilities in compliance with all applicable Data Protection laws including the GDPR.

Bribery and Corruption:

  • Ensuring compliance with legal and regulatory requirements across all business activities, and adherence to corporate ethics and compliance policies and procedures.
  • When required, to support the Compliance function with undertaking third party due diligence activities in accordance with business policies and procedures.

Anti-Boycotting:

  • Identification of anti-boycott requests during review of contractual documentation, seeking approval where necessary from Group compliance team.

General:

  • Support to the Director of Commercial Affairs and Head of Commercial on any other tasks as required
  • Where applicable, manage other members of the commercial department

EMPLOYEE COMPLIANCE:

  • The job holder will be expected to comply with any reasonable operational instruction or procedures relating to Company policies, reporting and controls. In particular Section 7 of the Health and Safety at Work Act 1974 provides a duty on every employee, while at work, to take reasonable care for the health and safety of themselves and of other persons who may be affected by their acts or omissions at work.
  • It also places a duty on employees to cooperate with their employer so far as is necessary to enable their duties to be complied with including the appropriate use of personal protective equipment (PPE)
  • Failure to comply with this duty may result in the Company invoking the disciplinary procedure.

KEY ATTRIBUTES:

  • Previous professional experience ideally gained within the Defence industry or within a similar international and interdisciplinary environment.
  • Extensive knowledge of UK and International contracting and commercial principles and legislation
  • Thorough knowledge of UK MoD terms of contracting DEFCONS & DEFFORMS, with a good working knowledge of the US DoD FARS & DFARS
  • Experience of bidding to and managing contracts in the UK and international defence and security markets
  • Demonstrable negotiation skills with successful experience of operating in UK and international markets
  • Pragmatic and commercially alert – effective at identifying and assessing risk, mitigations and risk management
  • Good working knowledge of UK Export Controls and Intellectual Property legislations.
  • Excellent proven understanding of drafting a wide range of contractual documentation
  • Creative problem solver who is detail oriented
  • Ability to integrate and balance priorities, work activities and resources for the benefit of multiple key stakeholders.
  • Strong communicator, both in writing and verbal with the ability to adapt communication style to fit target audience
  • Experienced in the use of the Microsoft Office suite especially Word, Excel and PowerPoint
  • Independent-minded, structured and organised whilst being flexible and adaptable as the requirement arises
  • Other languages are an advantage

QUALIFICATIONS:

  • At least 5 years minimum experience in a similar role.
  • Degree Level or equivalent.
  • Formal legal training/World Commerce & Contracting would be an advantage.
