Position Overview:

VMware seeks to add a highly talented, self-motivated Contracts Negotiator to its Global Legal Services (“GLS”) Team, supporting the company’s commercial Sales business and other divisions of the legal department, with a primary focus on Professional Services. While the primary job responsibility is negotiation & transactional support to our EMEA customers, you will form part of a global, growing team of Contract Managers and Negotiators in a shared services model, and in this position work collaboratively with the attorneys in our Commercial Legal Group (“CLG”), the Global Commercial Programs Legal Team (“GCPLT”), the Worldwide Professional Services Organization (“WWPS”), the Deal Management Team, the Sales organization, Finance, and the various business units in EMEA and globally to ensure best-in-class, seamless support to our customers, partners, and third-party vendors. Individuals applying for this job: (i) are comfortable working independently with a high degree of autonomy, including on legal issues; (ii) are willing to collaborate extensively with their team members to support transactions and to look for opportunities to optimize how we operate to scale support; (iii) display an aptitude for digging into problems and finding creative solutions; and (iv) have strong critical and strategic thinking skills.   
 

Responsibilities:

  • Prepare, negotiate and revise a broad range of contracts in accordance with company policies and procedures (both VMware and non-VMware documents); the primary focus will be on Professional Services (Master Agreements and Statements of Work), but Cloud, software license (on prem and subscription), support, data privacy, and security agreements/addenda will also be included.
  • Advise on all aspects of those commercial transactions, including finance and business considerations.
  • Review contracts to ensure adherence to company policy and conformance to master agreements.
  • Provide interpretation of terms and conditions and makes recommendations based on risk analysis.
  • Advise internal clients of company processes, contract status, and makes recommendations based on company policies and standards.
  • Interface with appropriate staff to understand business and financial issues involved with contract negotiations, development, and/or maintenance.
  • Advise affected parties of contractual rights and obligations.
  • Collaborate and partner effectively with the Global Legal Services S.T.A.R. Operations  organization, CLG attorneys, business units, Sales organization, WWPS, Finance and the Deal Management Team.
  • Participate in special projects within the Legal Department to develop, implement and enhance processes and policies that improve transaction velocity, efficiency, and standardization without material increase in risk.
  • Provide training and counseling to other members of the GLS Team, CLG Attorneys, Sales professionals, etc.
  • Participate in daily and/or frequent interactions with senior leadership, customers, partners and functional peer groups.
  • Assist in development and maintenance of various contract and policy forms.
  • Manage updates to selected forms
  • Mentor and train legal admins, contracts administrators, and/or less experienced team members.

 


Requirements:
 

  • University degree; law degree is highly preferred.
  • 8+ years of relevant job experience in a high-tech company, preferably in a legal department.
  • Professional fluency in both English and French; fluency in Spanish is a plus, other languages are highly welcome.
  • Vast experience with Professional Services agreements is essential.
  • Proven skills in drafting templates and negotiating commercial transactions, including SaaS, licensing, support, data privacy addendums, and security agreements
  • In-depth knowledge of contract law (Civil Law and Common Law): principles, terms, and structure.
  • High diligence and attention to detail skills.
  • Excellent negotiator with strong influencing skills that can plan, manage, and conduct negotiations on a non-confrontational, win-win basis.
  • Strong business acumen and a familiarity with GAAP rules and basic revenue recognition principles.
  • Knowledge of the IT industry, including information security, privacy, and the latest trends in Cloud services.
  • Strong negotiation experience with a specific industry vertical (e.g., financial services, telecommunications, manufacturing) is desired.  
  • Demonstrated experience and skills in managing a volume of large and/or strategic agreements and suite of agreement templates through collaboration tools.
  • Excellent computer skills (word processing, spreadsheets, etc.)
  • Excellent organization and time management skills.
  • Excellent written and verbal communication skills, inter-personal skills, and leadership skills.
  • A self-starter who operates well in a fast-paced environment that places a strong premium on integrity, excellence, execution, and teamwork.
  • Track record of excellence and leadership in past employment and academics.
